These Terms of Service govern access to and use of the BookAndReview platform, website, software, hardware products, and related services (collectively, the Services) provided by BookAndReview, Inc. (BookAndReview, we, our, or us).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility and Authority

You must be at least 18 years old to use the Services.

If you are using the Services on behalf of a business or organization, you represent and warrant that:

• You have authority to bind that entity to these Terms
• You are authorized to provide information and consent on its behalf

2. Description of Services

BookAndReview provides a business reputation, customer experience, and engagement platform, including:

• Customer check-in tools (QR, NFC, tablet, or self-installed devices)
• Feedback and review request workflows
• SMS and email communications
• Loyalty, rewards, and promotional tools
• Analytics dashboards
• Optional hardware products

BookAndReview does not guarantee review ratings, review volume, customer behavior, or business outcomes.

3. Account Registration and Security

3.1 Account Creation

To use the Services, you must create an account and provide accurate, complete information.

3.2 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activity that occurs under your account
• Ensuring authorized use only by permitted users

Notify us immediately of unauthorized access or security breaches.

4. Subscription Plans, Fees, and Billing

4.1 Subscription Terms

Services are provided on a subscription basis (monthly or annual) unless otherwise stated.

Subscription features, limits, and pricing are defined at the time of purchase and may vary by plan.

Purchased hardware is owned by you once fully paid.

Estimated delivery timelines are provided for convenience and are not guaranteed.

5.3 Warranty

Hardware includes a limited warranty as described at purchase. Warranty does not cover misuse, drops, water damage, or unauthorized modifications.

5.4 Compatibility

You are responsible for ensuring compatibility with your environment and internet connection.

6. SMS, Email, and Communications

6.1 Compliance Responsibility

You are responsible for complying with all applicable laws and regulations, including:

• TCPA
• A2P 10DLC requirements
• Local and international messaging laws

6.2 Consent

You represent that you have obtained valid customer consent before sending communications using the Services.

6.3 Opt-Out

All messages must include opt-out instructions. BookAndReview enforces opt-out automatically.

6.4 Message Delivery

We do not guarantee message delivery, timing, or receipt.

7. Customer Data and Ownership

7.1 Data Ownership

You own your business data and customer data.

BookAndReview acts as a service provider and data processor for customer data collected through the platform.

7.2 Use of Data

We use data solely to:

• Provide and improve the Services
• Comply with legal obligations
• Maintain platform security and integrity

7.3 Data Export

You may export your data through the dashboard, subject to plan limitations and legal obligations.

8. Acceptable Use

You agree not to:

• Violate any law or regulation
• Send spam or unauthorized messages
• Misrepresent your business or intent
• Upload malicious code or interfere with platform security
• Use the Services for fraudulent or deceptive practices
• Attempt to reverse engineer or misuse the platform

We may suspend or terminate accounts for violations.

9. Third-Party Services and Platforms

The Services may integrate with or link to third-party platforms, including Google and messaging providers.

BookAndReview is not responsible for:

• Third-party platform availability
• Policy changes by third parties
• Actions taken by third-party services

Use of third-party services is governed by their respective terms.

10. Intellectual Property

10.1 BookAndReview IP

All software, designs, content, trademarks, and technology are owned by BookAndReview or its licensors.

You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription.

10.2 Feedback

Any feedback you provide may be used by BookAndReview without obligation or compensation.

11. Confidentiality

Each party agrees to protect confidential information received from the other and use it only for purposes related to the Services.

12. Suspension and Termination

You may cancel your subscription at any time through your account.

12.2 By Us

We may suspend or terminate access if:

• You violate these Terms
• Your use poses legal or security risk
• Required by law or service providers

Upon termination, access to the Services will cease.

13. Disclaimers

We disclaim all warranties, including:

• Merchantability

We do not guarantee uninterrupted or error-free service.

14. Limitation of Liability

To the maximum extent permitted by law:

• BookAndReview is not liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount paid by you to BookAndReview in the 12 months preceding the claim

15. Indemnification

You agree to indemnify and hold harmless BookAndReview from claims arising from:

• Your use of the Services
• Your communications with customers
• Your violation of laws or third-party rights

16. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States, without regard to conflict of law principles.

Any disputes shall be resolved in state or federal courts located in Massachusetts.

17. Changes to These Terms

We may update these Terms from time to time. Updated versions will be posted with a revised effective date. Continued use constitutes acceptance.
